Terms of Service

Please read these Terms of Service ("Terms") carefully before using the website at www.loukama.com or engaging Loukama Tech Solutions ("Loukama", "we", "our", or "us") for any services. By accessing our website or commissioning our services, you ("Client" or "you") agree to be bound by these Terms.

1. About Loukama Tech Solutions

Loukama Tech Solutions is a technology company based in Nigeria that provides web development, mobile application development, AI automation, cloud infrastructure, and related digital services. We are founded and led by Umukoro O. Louis.

2. Services

Loukama offers the following services (collectively, the "Services"):

  • Web Development — Custom websites and web applications built with Next.js, React, Node.js, and modern technologies
  • Mobile App Development — iOS and Android applications built with React Native
  • AI Automation — Intelligent workflow automation using N8N, AI integrations, and custom agents
  • Cloud & Infrastructure — Deployment, hosting configuration, and maintenance on platforms such as Vercel, Netlify, Railway, and Firebase
  • Ongoing Support & Maintenance — Post-launch maintenance packages as agreed

The specific scope, deliverables, timeline, and cost of each project are defined in a separate Project Proposal or Service Agreement sent to the Client prior to commencement of work.

3. Engagement & Agreement

A binding engagement begins when:

  • The Client accepts a written proposal or quote from Loukama (via email or messaging), and
  • An initial deposit payment is received by Loukama

No work will commence until both conditions above are met. Verbal agreements alone do not constitute a binding engagement.

4. Payment Terms

All prices are quoted in Nigerian Naira (NGN) unless otherwise stated. Payments are processed securely via Paystack, our authorised payment partner.

  • Deposit: A non-refundable deposit (typically 50% of the project total) is required before work begins. The exact amount is stated in the project proposal.
  • Milestone Payments: For larger projects, payments may be structured around agreed milestones.
  • Final Payment: The remaining balance is due before the final deliverable, source code, or live deployment is released to the Client.
  • Overdue Payments: Work may be paused and deliverables withheld if a payment is overdue by more than 7 days. Loukama reserves the right to apply a late fee of 5% per month on overdue balances.

By making a payment via Paystack, you also agree to Paystack's Terms of Service.

5. Refund Policy

  • Deposits are non-refundable. They compensate Loukama for time reserved and work already commenced.
  • If Loukama is unable to deliver the agreed scope and the failure is entirely on our part, we will offer either a revised delivery plan or a partial refund proportional to work not completed.
  • If a Client terminates a project mid-way, payment is due for all work completed up to the termination date. Any overpayment beyond that will be refunded within 14 business days.
  • No refunds will be issued for completed and approved deliverables.

6. Client Responsibilities

To ensure smooth project delivery, the Client agrees to:

  • Provide accurate project requirements, content, assets, and feedback in a timely manner
  • Designate a single point of contact for all communication
  • Review and approve deliverables within agreed timelines (typically 5 business days per milestone)
  • Provide access to necessary accounts, credentials, and third-party services when required
  • Ensure all content, logos, images, and materials provided to Loukama are owned by you or properly licensed

Delays caused by the Client (e.g. late feedback, missing content) may result in revised delivery timelines and potential additional charges.

7. Intellectual Property

  • Client-owned assets: All content, branding, and materials provided by the Client remain the Client's property.
  • Project deliverables: Upon receipt of full and final payment, Loukama transfers ownership of the custom code and design created specifically for the Client's project.
  • Loukama-retained rights: Loukama retains the right to use general programming techniques, tools, frameworks, libraries, and non-client-specific code developed during the project for future projects. We also retain the right to display the project in our portfolio unless the Client requests otherwise in writing.
  • Third-party components: Projects may incorporate open-source libraries or third-party tools licensed separately. The Client is responsible for complying with their respective licences.

8. Confidentiality

Both parties agree to keep confidential any non-public, sensitive information shared during the engagement. Loukama will not share your project details, business data, or proprietary information with third parties without your written consent, except where required by law or to deliver the Services (e.g. sharing credentials with hosting providers).

9. Warranties & Disclaimer

Loukama warrants that all Services will be performed with reasonable skill and care, and that deliverables will substantially conform to agreed specifications at the time of handover.

We do not warrant that:

  • Any website or application will be entirely free from bugs at all times post-launch (we offer a standard 30-day bug-fix period after launch at no additional cost)
  • Any specific business outcome, revenue increase, or user growth will result from our work
  • Third-party services (hosting platforms, payment gateways, APIs) will remain available or unchanged

10. Limitation of Liability

To the maximum extent permitted by Nigerian law, Loukama's total liability for any claim arising from these Terms or the Services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

Loukama shall not be liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

11. Project Timelines

Estimated timelines are provided in good faith based on project complexity and current workload. Loukama will communicate any delays promptly. Timelines are affected by:

  • Scope changes requested by the Client after project commencement
  • Delays in Client feedback, approvals, or content delivery
  • Dependency on third-party APIs, integrations, or platforms

Scope changes will be discussed and may result in revised timelines and additional costs, agreed in writing before implementation.

12. Termination

Either party may terminate the engagement by giving 7 days written notice. Upon termination:

  • The Client is responsible for payment of all work completed up to the termination date
  • Loukama will deliver all completed work products to the Client
  • Access to any credentials or systems shared will be revoked or returned

Loukama reserves the right to immediately terminate an engagement if the Client engages in abusive behaviour, requests illegal content, or fails to make payment after reasonable notice.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the appropriate courts in Nigeria.

14. Changes to These Terms

Loukama reserves the right to update these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
